Arla Foods’ acquisition of competing Swedish dairy company cleared following in-depth investigation

In June 2017, Arla Foods entered into an agreement to acquire the competing Swedish dairy company Gefleortens. The acquisition was conditional upon approval by the Swedish Competition Authority. Following an in-depth investigation, the Competition Authority has decided on October 18 to clear the acquisition unconditionally. BOKWALL RISLUND represented Arla Foods in connection to the Competition Authority’s investigation.

This is the second in-depth investigation initiated by the Swedish Competition Authority this year. BOKWALL RISLUND has been lead competition counsel in both investigations, and both have been unconditionally cleared by the authority.

The Competition Authority ends investigation regarding Discovery’s complaint against Com Hem

The Swedish Competition Authority has decided to end the investigation that was prompted by a complaint lodged by Discovery Networks against the leading Swedish tv-distributor Com Hem. Discovery Networks had alleged that Com Hem had abused a dominant position when negotiating the terms of a new distribution agreement with Discovery Networks. Com Hem maintained that the company had only protected the legitim interest of itself and its end-customers. The Authority’s decision to end the investigation means that Com Hem can continue to protect its legitim interest in the same manner in the future.

Ahlsell’s acquisition of ViaCon VA cleared following in-depth investigation

In June 2017, Ahlsell entered into an agreement to acquire the competing water and sewage distributor ViaCon VA. The acquisition was conditional upon approval by the Swedish Competition Authority. Following an in-depth investigation, the Competition Authority has decided on September 29 to clear the acquisition unconditionally. BOKWALL RISLUND represented Ahlsell in connection to the Competition Authority’s investigation.

Aleris Diagnostik wins important competition court case

In connection to a public procurement made by Stockholm County Council in 2008, Aleris Diagnostik AB (Aleris) entered into two contracts with other companies active on the same market. Aleris’ object when entering the contracts was to secure qualitative care for the patients, but the Swedish Competition Authority (SCA) considered the contracts to have as their object to restrict competition between the parties. The fact that the companies involved all submitted independent tenders was undisputed. The SCA took the case to court and sought more than 36 million kronor in fine for Aleris. After having been trialed in the lower court, the case has now been definite decided by the Patent and Market High Court, which is the last instance.

The Patent and Market High Court concluded that the contracts could not be characterized as having as their object to restrict competition. The Court further concluded that the SCA had not demonstrated that the contracts could have anti-competitive effects. As a result, Aleris and its counterparts were acquitted of all charges of having infringed the competition rules, and were awarded full compensation for their legal costs. The judgment is available on the Patent and Market High Court’s website (in Swedish – link).

The Supreme Administrative Court approves an extension agreement involving substantial price reduction between Apoteket AB and SLL

Apoteket AB and the Stockholm County Counsel (SLL) had extended a previously procured agreement and simultaneously agreed to a substantial price reduction. The extension was challenged by a competitor to Apoteket AB based on public procurement rules. The Supreme Administrative Court, however, sided with Apoteket AB and SLL stating that neither the extension nor the price reduction infringed the public procurement rules. Apoteket AB was represented by BOKWALL RISLUND.

Born and raised in Iran, Amir Mohseni moved to Sweden at the age of ten. He received his Master of Laws degree from Lund University in 2004, specializing in competition law and has been working within the field ever since. After having worked as an associate in a top-tier law firm in Stockholm, Amir joined the Swedish Competition Authority as a competition expert and was part of the exchange of staff program with the EU Commission. In 2009, Amir returned to private practice and joined Olle Rislund and Carl Bokwall at their previous firm. Amir was part of the team that together with Olle and Carl established BOKWALL RISLUND in 2015. Amir Mohseni is an expert in competition law and is regularly retained by clients to handle complex and high-risk competition law cases.

Per-Owe Arfwedson is a leading expert in procurement law in Sweden and is regularly highly ranked by ranking institutes. Per-Owe joined the firm in June 2016, but is not a new acquaintance to BOKWALL RISLUND, as several of the firm’s associates and partners have worked with Per-Owe in the past. Prior to his legal studies at Stockholm university, Per-Owe was active in the Swedish Armed Forces where he among other things participated in UN and NATO lead peace keeping/enforcing operations. His previous employments includes associate position at top tier law firms in Sweden as well as serving as a law clerk at Södra Roslags County Court. Per-Owe is regularly retained as a speaker at conferences, seminars and he also lectures in Public Procurement law at Stockholm University.

Com Hem acquires Boxer-Access AB

In June 2016, Com Hem entered into an agreement to acquire Boxer TV-Access AB from Teracom Boxer Group AB. The acquisition was conditional upon approval by the Swedish Competition Authority. After an in-depth investigation, the Swedish Competition Authority has cleared the acquisition without any objections. BOKWALL RISLUND represented Com Hem in connection to the Competition Authority’s investigation.
